These Terms of Service (“Terms”) govern your access to and use of the website https://www.servstage.com (the “Site”) and the software development and technical consulting services provided by ServStage, operated by Mike Danna. By accessing the Site or engaging ServStage’s services, you (“you” or the “Client”) agree to be bound by these Terms. If you do not agree, do not use the Site or the services.
1. Services
ServStage provides full-stack development, website maintenance, legacy system modernization, technical advisory, and related consulting services (the “Services”). The specific scope, deliverables, timeline, and fees for any engagement are defined in a separate written proposal, statement of work, or agreement (an “Engagement Agreement”). If there is a conflict between these Terms and an Engagement Agreement, the Engagement Agreement controls for that engagement.
2. Engagements and Quotes
Quotes and estimates are provided for planning purposes and are not binding until confirmed in writing by both parties. Work begins after the scope is agreed in writing and, where applicable, any required deposit or retainer has been received.
3. Fees and Payment
- Fees are set out in the applicable Engagement Agreement.
- Payments are processed securely through a third-party payment processor, Stripe. By submitting a payment, you authorize ServStage and Stripe to charge the payment method you provide.
- Unless otherwise stated, invoices are due upon receipt. Deposits or retainers may be required before work begins.
- Work on overdue accounts may be paused or suspended until outstanding amounts are paid. You are responsible for any applicable taxes.
4. Refunds
Because the Services are custom and time-based, fees for work already performed are generally non-refundable. Any refund terms specific to an engagement will be described in the applicable Engagement Agreement. Deposits and retainers are non-refundable once work has commenced, except where required by law or otherwise agreed in writing. If you believe you have been charged in error, use the Contact details below and the matter will be reviewed in good faith.
5. Client Responsibilities
- Provide timely access, credentials, materials, feedback, and approvals reasonably needed to perform the Services;
- Ensure you have the rights and licenses to any content, code, or materials you provide;
- Maintain your own backups of important data; and
- Use the Services and any deliverables in compliance with applicable laws.
6. Intellectual Property
Upon full payment of all applicable fees, ownership of the custom deliverables created specifically for you under an engagement transfers to you, except for: (a) pre-existing materials, tools, frameworks, libraries, and know-how owned by ServStage; and (b) third-party and open-source components, which remain subject to their respective licenses. ServStage retains the right to use general skills, techniques, and non-confidential know-how developed in the course of providing the Services. Until full payment is received, all deliverables remain the property of ServStage.
7. Confidentiality
Each party agrees to keep the other party’s non-public, confidential information confidential and to use it only as needed to perform or receive the Services. This obligation does not apply to information that is or becomes public through no fault of the receiving party, or that must be disclosed by law.
8. Portfolio and Publicity
Unless otherwise agreed in writing, ServStage may reference the general nature of the work performed and display non-confidential deliverables in its portfolio and marketing materials. Confidential information will not be disclosed in doing so.
9. Warranties and Disclaimer
ServStage will perform the Services in a professional and workmanlike manner. Except as expressly stated in an Engagement Agreement, the Site and the Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. ServStage does not warrant that the Site or Services will be uninterrupted, error-free, or secure.
10. Limitation of Liability
To the maximum extent permitted by law, ServStage will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Site or the Services. In all cases, ServStage’s total aggregate liability arising out of or relating to the Services will not exceed the total fees actually paid by you to ServStage for the specific Services giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless ServStage from and against any claims, damages, liabilities, and expenses arising out of materials or instructions you provide, your use of the deliverables, or your breach of these Terms.
12. Term and Termination
Either party may terminate an engagement as described in the applicable Engagement Agreement or, if none specifies, upon reasonable written notice. Upon termination, you remain responsible for payment for all Services performed and expenses incurred up to the effective date of termination. Provisions that by their nature should survive termination will survive.
13. Third-Party Services
The Site and Services may rely on third-party platforms and providers, including hosting services and Stripe for payment processing. Your use of those services is subject to their own terms, and ServStage is not responsible for the acts, omissions, or availability of third parties.
14. Governing Law
These Terms are governed by the applicable laws of the United States and the jurisdiction in which ServStage operates, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved in the courts located in that jurisdiction, and you consent to their jurisdiction.
15. Changes to These Terms
These Terms may be updated from time to time. When they are, the “Last updated” date above will be revised. Your continued use of the Site or Services after changes take effect constitutes acceptance of the updated Terms.
